Terms of Use Welcome to iGossip. iGossip provides users a social media network for fans of celebrity news, ("Services"). iGossip is intended solely for entertainment purposes and contains gossip, rumors, speculation, opinions, personal views, assumptions and factual information. iGossip is operated by its parent company. ("Parent Company"). BY CLICKING THE "CONTINUE" BUTTON, OR VISITING THE IGOSSIP WEBSITE AND/OR USING ANY SERVICE PROVIDED BY IGOSSIP, YOU AND ANY THIRD PARTY WHO USES THE WEBSITE ("User") AGREE TO BE BOUND BY THESE TERMS OF SERVICE, IGOSSIP'S PRIVACY POLICY, AND ANY ADDITIONAL GUIDELINES SET FORTH ON THIS WEBSITE These terms and conditions regarding your use of the Site constitute a legally binding agreement between you, the Site and the Parent Company. In this Agreement, the term "Site" includes all websites and web pages within the Site as well as any equivalent, mirror, replacement, substitute or backup websites and web pages that are associated with the Site. By using this Site, you understand, acknowledge and agree that you will abide by the terms of this Agreement and any additional terms that govern certain products and services, which will be presented in conjunction with those products and services ("Additional Terms"), including the User Content Submission Agreement which governs your submission of User Content as such term is defined therein. The Site's Additional Terms, the Privacy Policy, and the Rules are hereby incorporated in this Agreement by reference. To the extent that there is a conflict between this Agreement and Additional Terms for the activity in which you choose to participate, the Additional Terms shall govern. To the extent that there is a conflict between this Agreement and the specific Rules for the activity in which you choose to participate, this Agreement shall govern. This Agreement will remain in full force and effect as long as you are a User of the Site and in the event of termination of any membership, service or feature, you will still be bound by your obligations under this Agreement, the Privacy Policy, any Additional Terms or Rules, including any indemnifications, warranties and limitations of liability. 1. Modifications. iGossip reserves the right, in its sole discretion, at any time to modify, discontinue or terminate the Site and Services, or modify these Terms of Use without notice. All modified terms and conditions will be effective after they are posted on the Site (unless a longer notice period is required by applicable law). If any modified terms and conditions are not acceptable to you, your sole remedy is to cease using the Site and Services, and if applicable, cancel your iGossip account. By continuing to access or use the Site and Services after iGossip makes any such revision, you agree to be bound by the revised Terms of Use. 2. Eligibility. The Site and its Services are not for persons under the age of 13. If you are under 13 years of age, then please do not use the Site. Talk to your parents about what sites are appropriate for you. 3. Registration. We may require each User to have a unique user name and password combination in order to access and use certain features or functions of the Site and may also, from time to time, provide Users with additional codes or passwords necessary to access and use certain features or functions of the Site. You agree that the information that you provide to us upon registration, and at all other times will be true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or iGossip has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete,iGossip has the right to suspend or terminate your account and refuse any and all current or future use of the Website (or any portion thereof). This Site is not directed to children under 13. If a parent or guardian becomes aware that his or her child has provided us with personally identifiable information without their consent, he or she should contact us at privacy@igossip.com. If we become aware that a child under 13 has provided us with personally identifiable information, we will delete such information from our files. Please read our Privacy Policy, which describes the personally identifiable information ("Personal Information") we collect, use, disclose, manage and store. As part of the registration process for the feature or function, you will choose a user name and password (or we may assign an initial password which we will give you the option to change). Your user name and password are personal to you and you may not allow any others to use your user name or password under any circumstances. You agree that you shall be solely responsible for any activities or actions under your password, whether or not you have authorized such activities or actions. We are not liable for any harm caused or related to the theft or misappropriation of your user name or password, disclosure of your user name or password, or your authorization of anyone else to use your user name or password. You agree to immediately notify us if you become aware of or believe there is or may have been any unauthorized use of (or activity using) your user name or password or any other need to deactivate your user name or password due to security concerns. 4. Termination. We may terminate or suspend your access to the Site and Services and remove any material, including User Submissions, from the Site or our servers, in our sole discretion, at any time for any reason without notice to you. Further, if we believe, in our sole discretion, that a violation of these Terms of Use has occurred, we may take any other corrective action we deem appropriate. We reserve the right to investigate suspected violations of these Terms of Use, including without limitation any violation arising from any User Submissions. We may seek to gather information from a User who is suspected of violating these Terms of Use (or from any other Member or user) and you agree to provide us with such information. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting publishing or otherwise making available any User Submissions, private messages, emails, or other materials that are believed to violate these Terms of Use. You may terminate your iGossip account at any time and for any reason by sending an email to support@igossip.com. Any suspension, termination or cancellation shall not affect your obligations to iGossip under these Terms of Use (including but not limited to ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation. 5. Intellectual Property Rights. 5.1. Content. You may access and use the Site, Services, its Content, and User Submissions for your own personal non-commercial use. "Content" shall be defined by these Terms of Use means, collectively, the text, data, graphics, images, video files, made available through the Site, excluding User Submissions. "User Submissions" as used in these Terms of Use means, collectively, the text, data, graphics, images, photos, and video files and other content and information which Users post, upload and otherwise submit to the Site, including without limitation, in discussion groups, message boards and User created profile pages. You must not alter, delete or conceal any copyright or other notices contained on the Site, including notices on any Content or User Submissions you download, transmit, display, print or reproduce from the Site. You shall not, nor will you allow any third party (whether or not for your benefit) to reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate to any third party (including, without limitation, on or via a third party website), or otherwise use, any Content or User Submissions without the express prior written consent of Parent Company or its owner if Parent Company is not the owner. Passwords and compiled names, photos, links, and Website content are not to be transferred or copied from the Site for use with any other product or service. Illegal and/or unauthorized uses of the Site, including collecting usernames and/or email addresses of Users by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Site will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress. Any unauthorized or prohibited use of any Content or User Submissions may subject you to civil liability, criminal prosecution, or both, under applicable federal, state and local laws. iGossip and its licensors own all right, title and interest, including all worldwide intellectual property rights in the Site, Content and the trademarks, service marks and iGossips contained therein other than your User Submissions. We require users to respect our copyrights, trademarks, and other intellectual property rights. We likewise respect the intellectual property of others. On notice, we will act expeditiously to remove content on the Site that infringes the copyright rights of others and will disable the access to the Site and its services of anyone who uses them to repeatedly to infringe the intellectual property rights of others. 5.2. User Submissions: Disclaimer, License, Representations and Warranties. iGossip does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and iGossip expressly disclaims any and all liability in connection with User Submissions. You agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against iGossip with respect thereto. 5.2.1. License. iGossip does not claim ownership rights in your User Submissions. However, by uploading, submitting, emailing, posting, publishing or otherwise transmitting any User Submission to iGossip or on the Site, you hereby grant iGossip a non-exclusive, unqualified, unrestricted, worldwide, royalty-free, sub-licensable, perpetual and irrevocable right and license to use, reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast and otherwise exploit such User Submissions in any form, medium or technology now known or later developed, including without limitation on the Site and third party websites and for any other purpose whatsoever (including, without limitation, for any promotional purposes) without accounting, notification, credit or other obligation to you, and the right to license and sub-license and authorize others to exercise any of the rights granted hereunder to iGossip and it's Parent Company, in our sole discretion. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the foregoing licenses to iGossip and its Parent Company. iGossip and its Parent Company shall own all right, title and interest in and to all derivative works and compilations of User Submissions that are created by iGossip, including all worldwide intellectual property rights therein. You agree to execute and deliver such documents and provide all assistance reasonably requested by iGossip and its Parent Company to give to iGossip and its Parent Company the full benefit of the rights granted toiGossip and its Parent Company by you. By uploading, submitting, emailing, posting, publishing or otherwise transmitting any User Submission to iGossip or on the Site in addition to the rights, licenses and privileges referred to above, you are also grantingIGOSSIP and it's Parent Company the unqualified, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual and royalty free right, license, authorization and permission to use and refer to your name, marks, image, characteristic or other distinctive identification in presentations, marketing materials, customer lists and financial reports, to do, perform, take advantage of and exploit any and all of the rights set forth herein in connection with the marketing, advertising and promotion of the Promotion, a platforms, and any products, goods, features, functions, capabilities and/or services associated with iGossip and/or it's Parent Company and to use and otherwise exploit any ideas, concepts, content, material, expression or form of expression, in whole or in part, contained in your content, for any purpose whatsoever, without any credit, compensation or accounting to you, in products or services developed by the Parent Company, without limitation or restriction whatsoever. 5.2.2. Ownership and Warranties. You must own the rights to all content you submit and each element of each piece of content you submit and the right to grant all of the authorizations, permissions, approvals, consents, rights and licenses as described in this Agreement. If you do not exclusively own all of these rights, you must have all necessary authorizations, permissions, approvals, consents, rights and licenses from the owner(s) to enter into this Agreement and perform and comply with all of its obligations. You represent, warrant and covenant toIGOSSIP and by submitting each piece of content for a User Submission, you reaffirm each such representation, warranty and covenant, that (a) you have the legal right and capability to enter into this Agreement and perform and comply with all of its terms and condition, (b) all of the information provided by you associated with your participation on the Site and each time you submit a User Submission, is correct, complete and current, (c) neither your content nor your User Submissions of any content violates this Agreement, any rights of any other party, any of your obligations, any law or regulation or infringes upon or misappropriates any intellectual property, privacy, publicity or other rights of any party, (d) you make in the Terms of Use, including, without limitation, those relating to User Submissions and (e) you hold and will continue to hold all the ownership, license, proprietary and other rights necessary to enter into, authorize, grant rights and perform your obligations under this Agreement as described. Upon the request of iGossip, you will furnish iGossip any documentation, substantiation and releases necessary and reasonably required to verify and substantiate your compliance with any or all of the terms and conditions of this Agreement, including, without limitation, the foregoing representations, warranties and covenants. You also understand and agree that you will pay all license fees, clearance fees, and other financial obligations of any kind, arising from any of your User Submissions. 6. Restrictions. You agree you will not do any of the following while using or accessing the Site or Services: a. Circumvent, disable or otherwise interfere with security related features of the Site or features that prevent or restrict use or copying of any Content. b. Upload, email, or otherwise transmit (i) any User Submission to which you do not have the lawful right to copy, transmit and display (including any User Submission that would violate any confidentiality or fiduciary obligations that you might have with respect to the User Submission); (ii) any User Submission for which you do not have the consent or permission of each identifiable person in the User Submission to use the name, voice, signature, photograph, or likeness of each such person (to the extent each is implicated by the User Submission) and such consent or permission in necessary; or (iii) any User Submission that infringes the intellectual property rights or violates the privacy rights of any third party (including without limitation copyright, trademark, patent, trade secret, or other intellectual property right, or moral right or right of publicity); c. Use any meta tags or other hidden text or metadata utilizing a iGossip name, trademark, URL or product name, or frame any part of the Site, or link to the Site, or otherwise make it look like you have a relationship to us or that we have endorsed you or your content for any purpose except as expressly permitted in writing byiGossip; d. Upload, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, "pyramid schemes," or any other form of solicitation, or use any robot, spider, scraper or other automated means or interface not provided by us to access the Site or extract data or gather or use information, such as email addresses, available from the Site; e. Forge any TCP/IP packet header or any part of the header information in any posting, or in any way use the Site or Services to send altered, deceptive or false source-identifying information; f. Upload, email, or otherwise transmit, via the Site or Services, any User Submissions that are unlawful, obscene, harmful, threatening, harassing, defamatory, or hateful, or that contains objects or symbols of hate, invades the privacy of any third party, contains nudity (including without limitation any pornography, erotica, child pornography or child erotica), deceptive, threatening, abusive, inciting of unlawful action, ridiculing a race or religion, libelous, vulgar or violent, or constitutes hate speech, or is otherwise objectionable in the opinion of iGossip; g. Upload, email, or otherwise transmit any User Submissions that contains software viruses or any other computer code, files, or programs designed to (i) interrupt, destroy, or limit the functionality of any computer software; or (ii) interfere with the access of any User, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site; h. Upload, email or otherwise transmit any User Submissions that include code that is hidden or otherwise surreptitiously contained within the images, audio or video of any User Submissions that is unrelated to the immediate, aesthetic nature of the User Submissions; i. Interfere with or disrupt (or attempt to interfere with or disrupt) any web pages available at the Site, servers or networks connected to the Site, or the technical delivery systems of iGossip's providers or disobey any requirements, procedures, policies or regulations of networks connected to the Site; j. Attempt to probe, scan or test the vulnerability of any iGossip system or network or breach or impair or circumvent any security or authentication measures protecting the Site or Services; k. reverse engineer any licensed software, application, or any other aspect of the Site or do anything that might discover source code, or bypass or circumvent measures employed to prevent or limit access to any area, content or code of the Site; l. Attempt to access, search or meta-search the Site with any engine, software, tool, agent, device or mechanism other than software and/or search agents provided by iGossip or other generally available third party web browsers (such as Microsoft Internet Explorer, Mozilla Firefox, Safari, or Opera), including without limitation any software that sends queries to the Site to determine how a website or web page ranks. m. Collect or store personal data about other Users without their express permission; n. Impersonate or misrepresent your affiliation with any person or entity, through pretexting or some other form of social engineering, or otherwise commit fraud; o. Access or use the Site in any way that is not in compliance with any applicable local, state, national or international law (including export laws), contracts, intellectual property rights or constitutes the commission of a tort, or for any purpose that is harmful or unintended (by us), or other than in full compliance with these Terms; or p. Use the Site or Services in any manner not permitted by this Agreement. 6.1. Liquidated Damages for SPAM. IF YOU SEND UNSOLICITED COMMERCIAL EMAIL OR ADVERTISING, BULK EMAIL, SPAM, OR CHAIN LETTERS (COLLECTIVELY, "UNSOLICITED EMAIL OR OTHER COMMUNICATION") THROUGH THE SITE, YOU ACKNOWLEDGE THAT YOU WILL HAVE CAUSED SUBSTANTIAL HARM TO IGOSSIP AND IT'S PARENT COMPANY, BUT THAT THE AMOUNT OF THE HARM WOULD BE EXTREMELY DIFFICULT TO ASCERTAIN. AS A REASONABLE ESTIMATION OF SUCH HARM, YOU WILL PAY LICENSOR $40 FOR EACH SUCH UNSOLICITED EMAIL OR OTHER COMMUNICATION. 7. Copyrighted Materials. YOU SHALL NOT USE THE SITE OR ITS SERVICES TO TRANSMIT, ROUTE, PROVIDE CONNECTIONS TO OR STORE ANY MATERIAL THAT INFRINGES COPYRIGHTED WORKS OR OTHERWISE VIOLATES OR PROMOTES THE VIOLATION OF THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY. We take protection of copyrights, both our own and others, very seriously. If you believe that the Site contains elements that infringe your copyrights in your work, please follow the procedures set forth in our Copyright Compliance Policy. 8. Third Party Links. The Site may provide links to third party websites or resources from the Site. The appearance, availability, or your use of URLs or hyperlinks referenced or included anywhere on the Site or any other form of link or re-direction of your connection to, with or through the Site, does not constitute an endorsement by, nor does it incur any obligation, responsibility or liability on the part of the Site, iGossip, it's Parent Company and any of their respective officers, directors, employees, agents, representatives, licensors, Advertisers, suppliers, and operational service providers. When you leave the Site, our terms and policies no longer govern. If any third party site obtains or collects Personal Information from you, in no event shall we assume or have any responsibility or liability. You should review applicable terms and policies, including the privacy and data gathering practices, of any Reference Sites. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. 9. Advertising. The Site contains advertisements, offers, or other links to websites of third parties that we do not control. Advertisements and other information provided by third parties may not be wholly accurate. All communication, interaction and participation is strictly and solely between you and such third parties, and we shall not be responsible or liable to you in any way in connection with these activities or transactions (including, without limitation, any representations, warranties, covenants, contracts or other terms or conditions that may exist between you and the Advertiser or any goods or services you may purchase or obtain from any Advertiser). 10. Disclaimer of Warranties. Your use of the Site, Services, Content and User Submissions is at your sole discretion and risk. The Site, Services, Content and User Submissions, and all materials, information, products and services included therein, are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. IGOSSIP MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, SECURE, OR TIMELY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IGOSSIP EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND THOSE ARISING FROM A COURSE OF DEALING, TRADE, USAGE OR PERFORMANCE. No advice or information, whether oral or written, obtained by you from iGossip, shall create any warranty not expressly stated in this Agreement. Some states or jurisdictions do not allow the exclusion of certain warranties. Accordingly, some of the above exclusions may not apply to you. 11. Limitation of Liability. IN NO EVENT SHALL IGOSSIP, ITS PARENT COMPANY , ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION FOR INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, STATUTORY, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF PRIVACY, LOSS OF GOODWILL OR ANY OTHER LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IN THE EVENT OF FAULT, TORT (INCLUDING NEGLIGENCE) OR STRICT OR PRODUCT LIABILITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, SERVICES, CONTENT AND USER SUBMISSIONS WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT IGOSSIP OR ITS PARENT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION AND IN NO EVENT SHALL IGOSSIP OR ITS PARENT COMPANY'S CUMULATIVE LIABILITY TO YOU EXCEED $100. 12. Indemnification. You agree to defend, indemnify, and hold iGossip, its Parent Company, its officers, directors, employees, attorneys, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with (i) your access to or use of the Site, Services, Content and User Submissions; (ii) your violation of these Terms of Use; (iii) your violation of any third party right, including without limitation any intellectual property right, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. The Parent Company reserves the right to assume, at its sole expense, the exclusive defense and control of any such claim or action and all negotiations for settlement or compromise, and you agree to fully cooperate with the Parent Company in the defense of any such claim, action, settlement or compromise negotiations, as requested by the Parent Company. 13. Privacy. We respect your privacy and the use and protection of your Personal Information. Please see our Privacy Policy for important information and disclosures relating to the collection and use of your Personal Information in connection with your use of the Site. 14. General. In the event that any provision in these Terms of Use is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of a party to enforce any right or provision of these Terms of Use will not be deemed a waiver of such right or provision. You may not assign this Agreement (by operation of law or otherwise) without the prior written consent of iGossip and any prohibited assignment will be null and void. iGossip may assign these Terms of Use or any rights hereunder without your consent. The relationship of the parties under this Terms of Use is that of independent contractors, and this Terms of Use will not be construed to imply that either party is the agent, employee, or joint venturer of the other. This Terms of Use and your use of the Site shall be governed by and interpreted in accordance with the laws of the State of California excluding that body of law pertaining to conflict of laws. Any legal action or proceeding arising under this Terms of Use will be brought exclusively in courts located in California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. You agree that this Terms of Use and the rules, restrictions and policies contained herein, and iGossip's enforcement thereof, are not intended to confer and do not confer any rights or remedies upon any person other than you andiGossip. This Terms of Use together with the rules and policies of iGossip constitutes the entire agreement between iGossip, its Parent Company and you with respect to the subject matter hereof. Any notice or other communication to be given hereunder will be in writing and given (a) by iGossip via email (in each case to the address that you provide), (b) a posting on the Site, or (c) by you via email to info@igossip.com or to such other addresses as iGossip may specify in writing.
